Activist investor Jana Partners has stepped up its marketing campaign to derail customer-provider system Zendesk’s proposed acquisition of the father or mother of internet-survey company SurveyMonkey.
Jana, which owns a substantial stake in Zendesk, to start with objected in November to the acquisition of Momentive World, expressing it “lacks monetary benefit, has questionable strategic logic, and introduces a higher diploma of execution possibility for Zendesk shareholders.”
In a Jan. three letter to the Zendesk, Jana said the company’s Dec. 6 proxy statement trying to get shareholder approval of the deal had lifted new worries that “make it even much more apparent that the proposed acquisition is the incorrect alternative for Zendesk and its shareholders.”
“Rather than wasting much more time and much more shareholder money on a price-destroying acquisition that is destined to be turned down by shareholders, the board should promptly terminate the transaction and pivot to concentrating on much much more promising avenues to solve Zendesk’s increasing price cut to reasonable price,” the letter urged.
Zendesk agreed to in Oct to buy Momentive in an all-inventory deal that at the time was worth about $four.1 billion. The companies have said that by combining, they could aid companies get far better suggestions from buyers.
Momentive shareholders would get .225 Zendesk share for each and every Momentive share but the deal is now worth $22.1o for each share when compared with $28 when it was declared.
Citing the proxy statement, Jana said in its letter that the deal “appears to be a reactive and impulsive selection, created only in reaction to outreach by Momentive’s advisers as aspect of a broad sale system at the stop of August 2021, relatively than the merchandise of a well-considered-out tactic.”
Also, as disclosed in the proxy, “the Momentive acquisition is justified by assuming the full realization of income synergies that, if accomplished, would increase a meager 1% to Zendesk’s topline progress fee.”
“It is incomprehensible how this de minimis possible benefit to progress and price could justify the monumental integration possibility of executing Zendesk’s to start with-ever substantial acquisition (by a issue of ~50x) with a administration crew with new/unproven executives,” Jana said.
Zendesk and Momentive have each and every independently scheduled a unique meeting of their respective stockholders to be held on February twenty five, 2022, to approve the transaction.
